CTRLift Terms of Service

1. Overview

CTRLift (“CTRLift”, “we”, “us”, or “our”) provides automated conversion tools for Shopify merchants, including buyer confidence tools, Google search enhancements, and AI-powered search presence features (the “Service”).

CTRLift is a software brand operated by Strive Built LLC, a U.S.-registered company. These Terms of Service (“Terms”) form a legally binding agreement between you (“Merchant”, “you”, or “your”) and Strive Built LLC regarding your access to and use of the Service, our website at https://ctrlift.com, and any related documentation or support.

By installing CTRLift from the Shopify App Store, signing up through our website, or using any part of the Service, you agree to be bound by these Terms. If you do not agree, do not install or use the Service.

2. Eligibility & Authority

You may use the Service only if you:

Are at least the age of majority in your jurisdiction (or have reached the legal age to enter into contracts); and
Have the legal authority to bind the business or organization on whose behalf you are using the Service.

If you are agreeing to these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind such entity, in which case “you” and “your” will refer to that entity.

3. Relationship with Shopify

CTRLift is developed for use with Shopify but is not owned, endorsed, or controlled by Shopify Inc. (“Shopify”). Your use of Shopify is governed by Shopify’s own terms and policies, which are separate from these Terms.

To use CTRLift, you must have an active Shopify store and maintain your compliance with all applicable Shopify terms, policies, and API use guidelines. If your Shopify store or account is suspended or terminated, your access to CTRLift may also be affected.

4. Description of the Service

The Service may include (but is not limited to):

Buyer confidence tools — helping shoppers make purchase decisions directly on your collection pages
Google search enhancements — structured data designed to help display star ratings in Google search results
AI-powered search presence — optimizing collection pages to appear in AI-powered search results
Additional modules that we may introduce over time

We may modify, enhance, or remove features from time to time. Some features may be released as beta, early access, or experimental functionality.

5. Account Setup & Installation

To use CTRLift, you may:

Install the app from the Shopify App Store; and/or
Create or connect an account via our website or dashboard; and
Grant the necessary API permissions in Shopify to allow CTRLift to read and process data (e.g., products, collections, reviews, metafields).

You are responsible for:

Ensuring all information you provide is accurate and up to date;
Maintaining the security of your Shopify store, account credentials, and any access tokens;
Not sharing login details with unauthorized users.

6. Merchant Responsibilities

You agree that you are solely responsible for:

All content, data, and materials from your Shopify store, including product information, descriptions, images, pricing, and customer reviews.
Compliance with all applicable laws and regulations, including those related to consumer protection, privacy, advertising, and e-commerce.
Ensuring that any AI-generated messaging or recommendations align with your brand, local regulations, and product policies.

You remain the data controller of your store’s customer data. CTRLift acts as a processor and/or service provider as described in our Privacy Policy.

7. Acceptable Use

You agree not to use the Service to:

Violate any local, national, or international law or regulation;
Promote or sell illegal, harmful, or deceptive products or services;
Misrepresent your products, pricing, or policies in ways that may mislead customers;
Attempt to reverse engineer, decompile, or otherwise tamper with the Service or its security;
Interfere with or disrupt the integrity or performance of the Service or related systems;
Use the Service to harvest, track, or profile individuals in violation of applicable privacy laws.

8. Pricing, Billing & Payments

Pricing for CTRLift is outlined on our Pricing page and/or within the Shopify App Store listing.

Fees are billed through Shopify Billing (subscription fees charged via your Shopify invoice).

By subscribing to a paid plan, you authorize us to charge the applicable fees on a recurring basis (e.g., monthly) until you cancel in accordance with these Terms.

Unless stated otherwise:

All fees are in U.S. dollars (USD);
Fees are exclusive of taxes, duties, or government charges, which you are responsible for paying as required by law;
Paid fees are generally non-refundable, except where required by law or explicitly stated in a specific promotion or agreement.

9. Trials, Upgrades & Downgrades

We may offer free trials, discounts, or promotional periods. We reserve the right to modify or withdraw such offers at any time.

If you upgrade your plan, the new pricing will apply immediately or at your next billing cycle, depending on the billing system used. If you downgrade or cancel, changes may take effect at the end of your current billing period.

10. Data, Privacy & Security

Our collection, use, and processing of data is described in our Privacy Policy, which is incorporated into these Terms by reference.

By using the Service, you acknowledge and agree that:

We may process certain store data (e.g., products, collections, reviews, basic analytics) to provide and improve the Service;
We do not intentionally store sensitive customer PII (names, emails, addresses) unless explicitly provided for support or legal reasons;
We may use reputable third-party providers (e.g., hosting, CDN, AI infrastructure) to deliver the Service securely.

11. AI-Generated Content & Disclaimers

Some features of the Service use AI models to generate buyer insights based on your store data and review content.

You understand and agree that:

AI outputs may occasionally be incorrect, incomplete, or not suitable for all use cases;
You are responsible for reviewing AI-generated content, especially in regulated or sensitive categories;
AI results should not be treated as legal, medical, financial, or other professional advice.

CTRLift does not guarantee any particular improvement in sales, rankings, or performance. All uplift or performance claims are illustrative and may vary between stores.

12. Service Availability & Modifications

We aim to provide reliable uptime and performance, but the Service is provided on an “as is” and “as available” basis. We may temporarily suspend or limit the Service for maintenance, security, or technical reasons.

We reserve the right to:

Modify or discontinue parts of the Service;
Introduce new features or impose limits on certain functionalities;
Change pricing and plan structures, with reasonable prior notice where applicable.

13. Suspension & Termination

You may stop using CTRLift at any time by:

Uninstalling the app from your Shopify store; and/or
Canceling your subscription or account via our dashboard or by contacting support.

We may suspend or terminate your access to the Service, with or without notice, if we reasonably believe that:

You have violated these Terms or applicable law;
Your use poses a risk to other users, our infrastructure, or third parties;
Required payments have not been made.

Upon termination or uninstallation:

Your access to the Service and related features may cease immediately;
We may retain limited data as required for legal, billing, or audit purposes, as described in our Privacy Policy;
We will cease processing your store data for active Service purposes.

14. Intellectual Property

We retain all rights, title, and interest in and to the Service, including all software, designs, logos, trademarks, and related materials, except for the content and data that belongs to you or third parties.

You retain ownership of your store content, product data, branding, and any materials you provide. By using the Service, you grant us a limited, non-exclusive, revocable license to use such content solely as necessary to provide the Service.

You agree not to copy, modify, distribute, sell, or lease any part of the Service, nor reverse engineer or attempt to extract the source code, except to the extent laws prohibit such restrictions.

15. Third-Party Services & Integrations

The Service may integrate with or rely on third-party tools (e.g., Shopify, review apps, analytics, AI providers). Your use of such third-party services is governed by their respective terms and policies.

We are not responsible for:

The actions or policies of any third-party service providers; or
Any downtime, data loss, or issues caused by third-party changes or outages.

16. Limitation of Liability

To the maximum extent permitted by law:

CTRLift and Strive Built LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or revenue, loss of data, business interruption, or reputational harm, arising out of or in connection with your use of the Service.
Our total aggregate liability to you for any claims arising out of or relating to the Service or these Terms will not exceed the greater of: (a) the amount you paid us for the Service in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (USD $100).

Some jurisdictions do not allow the exclusion or limitation of certain damages or liabilities, so the above limitations may not apply to you in full. In such cases, our liability will be limited to the maximum extent permitted by law.

17. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

The Service will be uninterrupted, secure, or error-free;
AI-generated content will be accurate, complete, or suitable for every use case;
The Service will produce any guaranteed increase in traffic, conversions, or sales.

18. Indemnification

You agree to indemnify, defend, and hold harmless Strive Built LLC, CTRLift, and our officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

Your use of the Service;
Your violation of these Terms or any applicable law;
Your store content, products, or interactions with your customers.

19. Governing Law & Dispute Resolution

These Terms and any dispute arising out of or relating to them or the Service will be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of laws principles.

You agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be brought exclusively in the courts located in the State of Wyoming, United States, unless applicable law requires otherwise. You and we consent to the personal jurisdiction of such courts.

20. Changes to These Terms

We may update or modify these Terms from time to time. When we do, we will update the “Last Updated” date at the top of this page and may provide additional notice where required (e.g., via email or in-app notification).

Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms. If you do not agree with the changes, you must stop using the Service and, if applicable, uninstall the app from your Shopify store.
